These terms govern your use of foci, operated by Lobbies, Ltd ("we", "us"). By using the site you agree to them. If you do not, do not use the site.

1 · What foci is#

foci is an interface to smart contracts deployed on a public blockchain. The contracts are permissionless: anyone can create a token, and anyone can trade one.

We are not a broker, exchange, custodian, or financial institution. We do not hold your assets, execute trades on your behalf, or match orders. You interact with the contracts directly, from your own wallet, and every transaction is signed by you.

2 · Non-custodial#

Your keys never leave your wallet. We cannot access your funds, move them, freeze them, or recover them.

If you lose your keys, we cannot help. If you sign a transaction you did not understand, we cannot reverse it. If you send assets to the wrong address, they are gone.

3 · Eligibility#

You must be at least 18 and legally able to enter this agreement. You must not use foci if you are subject to sanctions, or if you are located in a jurisdiction where using it would be unlawful. You are responsible for knowing whether that applies to you.

We may block access to anyone, for any reason, without notice.

4 · Not advice#

Nothing on foci is financial, investment, legal or tax advice. No content is a recommendation to buy or sell anything. We do not assess whether any token is suitable for you, because we cannot.

Get independent advice before committing money you cannot lose.

5 · Tokens are created by users, not by us#

Any token you see on foci was created by a stranger. We do not review, endorse, verify or vet tokens, their creators, their names, their images, or their claims. A token appearing on foci means somebody paid a fee to deploy it — nothing more.

Assume every token is worthless until you have satisfied yourself otherwise.

6 · Memecoins and the absence of securities protections#

foci is intended for memecoins — assets created purely for entertainment, social and cultural purposes. Their value comes from market demand and speculation alone, not from the efforts of any person or enterprise. No one is working to make these tokens valuable.

There is no team building a business behind a memecoin, no revenue, no roadmap anyone is obliged to deliver, and no expectation of profit derived from the managerial efforts of others. Prices are extremely volatile and routinely fall to zero, and these assets may carry none of the protections that securities laws provide.

Using foci for anything other than a memecoin is prohibited. In particular, you must not use it to offer an investment contract, to promise returns, or to represent that anybody will work to increase a token's value.

7 · Risk#

By using foci you accept, at minimum, that:

• Smart contracts can fail. Ours have been written carefully and tested, but no contract is provably free of defects. A bug could cause total loss.
• You can lose everything. Bonding-curve prices move sharply, and most tokens go to zero.
• Graduation is irreversible. When a token graduates, its liquidity is locked permanently and a portion of supply is burned. The locking contract has no withdrawal function of any kind — not for you, not for the token's creator, and not for us.
• Fees apply. A launch fee, a trading fee and any creator tax are taken by the contracts. They are visible on-chain before you sign.
• Transactions are final. Nothing on a blockchain can be undone.
• We depend on third parties — Uniswap, the Arc network, wallet providers, RPC providers, hosting. Their failures affect foci and are outside our control.
• The interface can be wrong or unavailable. Prices and balances shown here are indexed from the chain and may lag. The chain, not this site, is the source of truth.

8 · Your content#

You keep ownership of what you upload — images, names, descriptions, links. By uploading, you grant us a worldwide, royalty-free licence to store, reproduce and display it for the purpose of operating foci.

You promise that what you upload is yours to give us, and that it is not unlawful, infringing, deceptive, or sexual content involving minors. We may reject or remove any upload at our discretion and without notice. Uploads are processed automatically and may be refused by that pipeline.

Note that a token's name and symbol are written on-chain by you and cannot be removed by us at all.

9 · Acceptable use#

Do not use foci to break the law, launder money, evade sanctions, impersonate anyone, manipulate a market, infringe intellectual property, or attack the site or its infrastructure. Do not attempt to interfere with other users' transactions.

10 · No warranties#

foci is provided "as is" and "as available", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, accurate, or error-free.

11 · Limitation of liability#

To the fullest extent permitted by law, Lobbies, Ltd and its officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or digital assets, arising from your use of foci — whether or not we were advised such loss was possible.

Our total aggregate liability to you for all claims is limited to one hundred United States dollars (US$100).

Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you.

12 · Indemnity#

You will indemnify and hold Lobbies, Ltd harmless from any claim, loss or expense (including reasonable legal fees) arising from your use of foci, your content, or your breach of these terms.

13 · Changes#

We may change these terms. Material changes will be signposted on the site, and the date below will be updated. Continuing to use foci after a change means you accept it.

We may modify or discontinue foci at any time. The contracts, being deployed on a public chain, will continue to exist and operate whether or not this interface does.

14 · Governing law and disputes#

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules.

Please read this paragraph carefully — it affects how disputes are resolved. Any dispute arising out of these terms or your use of foci will be resolved by binding arbitration on an individual basis, rather than in court. You and we each waive the right to a jury trial and the right to participate in a class action. You may bring an individual claim in small claims court instead, if it qualifies. Nothing here waives any right you have that cannot be waived by law.

15 · General#

If any provision is unenforceable, the rest stands. Our not enforcing a provision is not a waiver of it. These terms, with the Privacy Policy, are the entire agreement between us. You may not assign them; we may.
